Scope of Application: All ZTE's suppliers, who also bear the responsibility to communicate the requirements of this policy to sub-suppliers and to ensure that such sub-suppliers comply with it.
中兴通讯将环境、社会与治理(ESG)要求融入供应商全生命周期管理,通过清晰的标准、系统的评估与持续的赋能,选择并培育优质合作伙伴,共同推动产业链的协同进化与高质量发展。
ZTE has incorporated Environmental, Social, and Governance (ESG) requirements into its end-to-end supplier lifecycle management. Through clear standards, systematic assessments, and ongoing empowerment, ZTE selects and cultivates high-quality partners to jointly facilitate collaborative evolution and high-quality development across the industry chain.
1. 治理架构 Governance Structure
中兴通讯采购委员会是采购领域的经营决策组织,负责采购战略、采购策略、供应商引入、供应商选择、供应商违规处理等采购业务的指导和决策,以及采购专业能力建设相关事宜的决策等,并对供应商ESG管理发挥战略管理与监督作用。
ZTE Procurement Board serves as the decision-making body for procurement operations. It provides guidance and makes decisions on procurement strategies and tactics, supplier onboarding and selection, and handling of supplier violations. Additionally, the Procurement Board decides on the development of professional procurement capabilities and exercises strategic management and oversight over suppliers' ESG performance.
采购委员会主任由COO担任,执行主任由包括供应链在内的相关单位负责人担任。采购委员会下设供应商违规处理特别小组,负责供应商违规处理决策。采购委员会秘书组支撑采购委员会与其他委员会的协同工作,包括与战略及可持续发展委员会、BCM委员会之间的协同等。
The Procurement Board is chaired by the COO, and its executive directors include the heads of relevant units including Supply Chain. A special team is established under the Procurement Board for making decisions regarding the handling of supplier violations. The secretariat of the Procurement Board facilitates collaboration between the Procurement Board and other committees including the Strategy and Sustainability Committee and the Business Continuity Management Committee.
采购委员会采用定期会议和即时决策相结合的方式运作。
The Procurement Board operates through a combination of regular meetings and immediate decision-making.

ZTE's SPIRE strategy for the supply chain focuses on customer value and actively adapts to changes. The company is committed to building a Safe, Precise, Intelligent, Reliable, and Efficient (SPIRE) supply chain and fostering a win-win ecosystem.
作为供应链SPIRE战略核心之一,供应商ESG(包括CSR和网络安全等)管理是中兴通讯构建绿色可持续价值链生态的重要工作,要求对一级供应商以及二级、三级供应商进行穿透管理。
As a core component of the SPIRE strategy, supplier ESG management (including CSR and cybersecurity) plays an important role in building a green and sustainable value chain ecosystem. It mandates that the company extend its management across tier-1, tier-2, and tier-3 suppliers.
2.1 标准引用 Normative References

To ensure the compliance and legitimacy of sustainable procurement, this policy is designed and implemented in accordance with relevant Chinese and international laws and regulations, international conventions, and industry standards, including but not limited to:

2.2 明确价值链ESG管理要求 Clarifying ESG Management Requirements Across the Value Chain
中兴通讯将可持续发展要求纳入供应链管理中,要求供应商及其下级供应商遵循相同的标准:
ZTE integrates sustainability requirements into its supply chain management and requires suppliers and their sub-suppliers to follow the same requirements, including:
l 合法合规:遵守经营所在国家或地区所有适用的相关法律法规和标准。供应商应遵守所有适用的反腐败反贿赂、欺诈和洗钱、不正当竞争等相关法律法规,严禁供应商出现贿赂、腐败、欺诈、洗钱、非竞争行为,以及支持非法武装行为。
l Legal Compliance: comply with all applicable laws, regulations, and standards in the countries or regions where suppliers operate, including applicable laws and regulations on anti-corruption, anti-bribery, anti-fraud, anti-money laundering, and unfair competition. Suppliers are strictly prohibited from engaging in any form of bribery, corruption, fraud, money laundering, unfair competition, or supporting illegal armed force.
l 环境保护:降低对环境的影响,践行绿色低碳转型。中兴通讯持续增加绿色采购的范围和比例,避免使用有害物质,推进低碳、可循环物料和可回收包装等的使用。赋能供应商双碳治理方法论(双碳治理SMART模型),推动供应商设置碳减排目标、制定并实施碳减排措施,并对外公开披露碳排放信息,共同减少供应链的温室气体排放。
l Environmental Protection: minimize environmental impact and actively pursue green and low-carbon transition. ZTE continues to increase the scope and proportion of green procurement, avoiding the use of hazardous substances and promoting the use of low-carbon, recyclable materials and packaging. Meanwhile, we provide suppliers with the dual-carbon (carbon peaking and carbon neutrality) governance methodology (SMART Model for Dual-Carbon Governance), require them to set emission reduction targets, take relevant measures, and disclose their carbon emissions to the public, so as to reduce GHG emissions along the supply chain together.
l 人权和劳工:尊重所有国际公认的人权,禁止出现任何形式的雇佣童工和强迫劳动行为,无歧视、骚扰及虐待,保障员工身心健康,营造开放、包容的工作氛围。
l Human Rights and Labor: respect all internationally recognized human rights. Any forms of child labor and forced labor are prohibited. Suppliers must maintain an open and inclusive working environment free from discrimination, harassment, and abuse, so as to safeguard employees' physical and mental health.
l 多元包容:尊重并促进价值链的多元化,消除基于性别、国籍、民族、宗教、语言、性倾向与性别认同、身体状况等因素的歧视,为上述少数群体及其持有的企业提供公平的准入机会、技能培训与资源支持,构建平等竞争的生态环境,实现价值共创。
l Diversity and Inclusion: respect and promote the diversity of value chain, eliminate discrimination based on gender, nationality, ethnicity, religion, language, sexual orientation and gender identity, physical condition, etc., provide minority groups and the businesses owned by them equal business opportunities, skill training, and resource support, and build an ecosystem of fair competition to achieve value co-creation.
l 安全可信赖:保障产品与服务在研发、采购、制造、交付及运维各环节的安全可控,防范软硬件篡改、后门植入、漏洞利用、病毒感染、数据泄露等风险,为客户提供端到端、可验证、可信赖的安全保障,确保交付给客户安全且可信赖的产品与服务。
l Security and Trustworthiness: ensure the security and controllability of products and services across all stages—R&D, procurement, manufacturing, delivery, and O&M. ZTE guards against risks such as tampering of software and hardware, backdoor implantation, vulnerability exploitation, viruses, and data leaks. By providing end-to-end, verifiable, and trustworthy security assurances, the company delivers safe and reliable products and services to customers.
中兴通讯通过《供应商CSR行为准则》、《供应商阳光合作行为准则》和《供应商网络安全行为准则》等方式对外发布ESG具体要求,并设置7条ESG零容忍红线。上述三项行为准则分别作为《供应商CSR协议》、《供应商阳光合作及反贿赂合作承诺书》和《供应商安全协议》等供应商商业合同的重要附件条款,在供应商准入阶段须由供应商正式签署,如无故拒绝签署,将被直接终止准入流程。若供应商严重违反ESG要求并拒绝整改,中兴通讯将根据违规情节采取限期整改、暂停或解除采购订单、限制或终止供应商合作资格等措施。
ESG-related requirements for suppliers have been identified in ZTE's publicly released documents such as the Supplier CSR Code of Conduct, Supplier Transparent Cooperation Code of Conduct, and Supplier Cybersecurity Code of Conduct, with seven zero-tolerance redlines established. The three codes of conduct serve as integral annexes to commercial contracts including Supplier CSR Agreement, Supplier Commitment Letter of Transparent Cooperation and Anti-Bribery Compliance, and Supplier Security Agreement. These commercial contracts shall be formally signed by suppliers in the supplier onboarding phase. If a supplier refuses to sign these documents without justified reasons, its onboarding process will be terminated. If a supplier commits a severe violation of ESG requirements and refuses to rectify, the company will take actions based on violation severity, including ordering rectification within a prescribed time period, suspending or canceling POs, or restricting or revoking the supplier's qualification to cooperate.

Suppliers shall not employ or use children for work, nor employ any persons below the minimum legal age of employment. l 严禁强迫劳动:不得使用强迫劳工、强制劳动、监狱劳工、债役、奴役或贩卖人口、肢体或语言虐待、性暴力等。 l The use of forced labor is strictly prohibited. Suppliers shall not use forced labor, compulsory labor, prison labor, bonded labor, bondage or human trafficking, physical or verbal abuse, or sexual violence. l 严禁将员工、承包商、合作伙伴或可能受其活动影响的其他人员暴露在可能立即导致死亡、严重人身伤害和严重健康损害的工作环境中。 l Exposure of employees, contractors, partners, or other persons who may be affected by the activities of the employees, contractors, and partners to an environment that may cause immediate death, serious personal injuries, or serious health damage is strictly prohibited. l 严禁发生可能或已经造成严重影响的环境污染物排放事件,避免给社区造成重大的负面影响,如,排放有毒或有害的空气和水,排放未经达标处理的废气和废水,化学品溢漏,将有毒或有害物质排出工厂等。 l The discharge of environmental pollutants that may cause or have caused serious impacts is strictly prohibited to avoid major negative impacts on communities, for example, the discharge of toxic or harmful gases and liquids, the discharge of exhaust gas and waste water without required treatment, chemical leakage, and the discharge of toxic or hazardous substances out of factories. l 严禁贿赂、腐败、欺诈、洗钱、非竞争行为,以及支持非法武装。 l Bribery, corruption, fraud, money laundering, unfair competition, and support of illegal armed forces are strictly prohibited. l 严禁重大网络安全隐患:禁止产品中存在后门,禁止交付的产品中存在中危及以上级别的漏洞,禁止违规处理个人数据,禁止瞒报、拖延或忽视网络安全事件,禁止未经客户授权情况下访问客户网络或数据。 l Major cybersecurity risks are strictly prohibited. Suppliers are strictly prohibited from leaving any backdoor in products, delivering products with medium- or high-risk vulnerabilities, processing personal data in violation of applicable laws and regulations, concealing, delaying, or ignoring cybersecurity incidents, and accessing customers' networks or data without authorization. l 严禁发生其他可能或已经造成严重的国内国际影响的负面事件。 l Other negative events that may cause or have caused serious impacts at home and abroad are strictly prohibited. |
2.3 构建供应商ESG全流程管理体系 Building an End-to-End Supplier ESG Management System
中兴通讯的供应商ESG管理,全面覆盖劳工权益、健康安全、环境保护、商业道德、产品有害物质含量管控、“双碳”要求、冲突矿产、信息安全、产品安全及业务连续性等10个关键模块。
ZTE's supplier ESG management comprehensively covers ten key modules, including labor rights, health and safety, environmental protection, business ethics, control of hazardous substances in products, dual carbon requirements, conflict minerals, information security, product security, and business continuity.
中兴通讯依托数字化平台,将ESG管理要求和规定动作嵌入到引入认证、过程管理、合作受限等供应商全生命周期管理各关键阶段的业务流程中,具体业务由对应的供应商管理岗位人员跟踪落实,若未能有效实施将影响其工作质量积分,进而影响其考核结果,以确保ESG要求在日常业务中落到实处,推动供应商持续改进,提升供应链整体可持续发展竞争力。
Based on digital platforms, the company embeds ESG management requirements and mandated actions into key stages across suppliers' lifecycle, including onboarding and certification, in-process management, and cooperation restriction. Dedicated supplier management personnel shall follow up specific business activities. Failure to effectively fulfill those requirements will impact suppliers' work quality score, which in turn affects their performance appraisal results. This ensures that ESG requirements are effectively implemented in daily operations, driving suppliers to make continuous improvements, and enhancing the overall sustainable competitiveness of the supply chain.
l 引入认证阶段:所有新供应商在认证过程中均需签署《供应商CSR协议》、《供应商阳光合作及反贿赂合作承诺书》和《供应商安全协议》,并接受CSR与网络安全风险评估。该阶段风险评估以“即时触发、全面覆盖”为原则,ESG作为供应商引入的关键门槛之一,具有一票否决权。对于识别出的中高风险供应商,中兴通讯将实施进一步的管控措施,包括但不限于安排CSR或网络安全现场审核确保风险得到有效管理与监督,确保新供应商引入符合公司负责任供应链建设的准入要求。
l Onboarding and Certification: During the certification process, all new suppliers are required to sign the Supplier CSR Agreement, Supplier Commitment Letter of Transparent Cooperation and Anti-Bribery Compliance, and Supplier Security Agreement. They must also undergo CSR and cybersecurity risk assessments, which are triggered immediately and applicable to all suppliers. As ESG compliance is a critical entry requirement, non-compliance in this regard has veto power over suppliers' onboarding. For suppliers identified as medium- to high-risk, the company will implement enhanced controls, including but not limited to onsite CSR or cybersecurity audits. Such control measures are intended to ensure that risks are effectively managed and supervised, and the onboarding of new suppliers meets the company's threshold requirements for building a responsible supply chain.
l 过程管理阶段:中兴通讯每年组织供应商ESG培训与辅导,对主力供应商中的ESG中高风险供应商实施ESG监督审核,开展供应商ESG绩效评估,并将评估结果应用于招标采购过程中。
l In-Process Management: ZTE provides annual ESG training and guidance for suppliers, performs ESG supervision and audits on key suppliers with medium and high risks, evaluates ESG performance, and applies the results in tendering and procurement processes.
l 合作受限阶段:当供应商违反ESG管理要求时,中兴通讯将依据影响的严重程度对供应商实施相应的管理措施,如,限制合作、暂停取消资格等。
l Cooperation Restriction: When suppliers violate ESG management requirements, ZTE will take appropriate measures based on the severity of the impact, such as restricting cooperation, or suspending or canceling qualifications.
中兴通讯采用一体化审核、专项审核与外部审核相结合的方式,对不同风险等级及业务层级的供应商ESG状况实施差异化审核评估,包括对供应商遵守本政策的审查。
ZTE conducts supplier assessments based on risk levels and business tiers through a combination of integrated, specialized, and external audits. It includes audits of supplier compliance with this policy.
l 一体化审核:在新供应商认证审核、存量供应商跨类认证审核、存量供应商监督审核、存量供应商新增场地或场地变更审核时,同步实施ESG审核。
l Integrated Audits: ZTE assesses suppliers' ESG performance during the review of new supplier certification, cross-category certification of existing suppliers, supervision on existing suppliers, and addition or change of sites by existing suppliers.
l 专项审核:对中高风险供应商实施ESG专项审核。
l Specialized Audits: ZTE performs specialized ESG audits on suppliers with medium and high risks.
l 外部审核:由第三方专业机构采用客户认可的ESG标准实施ESG专项审核。
l External Audits: Third-party professional agencies conduct specialized ESG audits in accordance with customer-recognized ESG standards.
所有的审核不符合项均在供应链协同网站(https://supply.zte.com.cn)实现闭环管理,并纳入供应商绩效考核体系,以持续提升供应链ESG表现与可持续发展能力。对超期(超过三个月)未完成整改的审核不符合项,将在当月供应商绩效考核中扣分,直至最终完成整改。
All audit findings are subject to closed-loop management on ZTE's Supply Chain Collaboration website (https://supply.zte.com.cn), and are incorporated into the supplier performance evaluation system, to continuously improve the ESG performance and sustainability of our supply chain. For corrective actions overdue by over three months, points will be deducted each month in the supplier's monthly performance score until the corrective actions are completed.
3. 指标和目标 Metric and Target
中兴通讯制定一系列供应商ESG管理的指标和目标,持续监控目标达成情况并每年通过可持续发展报告公开发布,同时对内和对外进行传达。针对未达标的指标,中兴通讯会进行根因分析并整改闭环。
ZTE sets a series of metrics and targets for supplier ESG management and continuously tracks their achievement, which will be annually disclosed through the Sustainability Report and communicated both internally and externally. For any unfulfilled targets, the company conducts root-cause analysis and implements corrective actions to close the loop.

中兴通讯通过供应链协同网站(https://supply.zte.com.cn)公开发布、内外部邮件推送、定期组织可持续采购培训,来加强采购人员和供应商代表对本政策的认识、理解和遵规执行力。
ZTE enhances the policy awareness, understanding, and compliance of procurement personnel and supplier representatives through various channels, including public release on its Supply Chain Collaboration website (https://supply.zte.com.cn), internal and external email notifications, and regular sustainable procurement training.
中兴通讯不仅在内部通过培训和宣传活动推广可持续发展的理念,也通过外部沟通渠道向广大员工与合作伙伴普及相关知识,全面提升整条供应链的可持续发展竞争力。
In addition to promoting the concept of sustainable development through internal training and campaigns, ZTE also shares relevant knowledge with employees and partners via external communication channels, thereby comprehensively strengthening the sustainability competitiveness of its entire supply chain.
5. 沟通与申诉 Communication and Appeal
中兴通讯开通多种渠道用于接收关于供应商ESG违规的举报,对收到的任何举报均严格遵循“永久保密、知情范围最小”的原则进行处理,及时调查核实并实施整改或处罚措施。同时,依据《保护、奖励实名举报人员管理办法》落实反报复保护要求,确保举报人不因举报行为受到不利影响。
ZTE has established multiple dedicated channels for reporting suppliers' ESG violations. It handles all reporting clues based on the principle of "permanent confidentiality and minimal disclosure," conducts timely investigations and verification, and implements corrective actions or imposes penalties as appropriate. The company enforces anti-retaliation and protection measures in accordance with the Regulations on Protection and Rewarding of Real-Name Whistleblowers to ensure that whistleblowers are not subjected to adverse treatment due to their reporting.

6. 审查与修订 Review and Revision
为保障本政策的科学性、适用性与时效性,中兴通讯建立标准化、全流程的审查与动态修订机制,确保政策始终贴合法律法规要求、行业发展趋势及公司战略目标。
To ensure the scientific rigor, applicability, and timeliness of this policy, ZTE has established standardized, end-to-end review and dynamic revision mechanisms, guaranteeing that the policy aligns with laws and regulations, industry trends, and the company's strategic objectives.
6.1 审查机制 Review Mechanism
中兴通讯采购委员会协同战略及可持续发展委员会,结合ESG相关法律法规、国际标准或行业规范、客户需求、公司战略及业务规划等,每两年对本政策进行全面审查,发现政策不适宜时及时评估修订。
ZTE Procurement Board, in collaboration with the Strategy and Sustainability Committee, conducts a comprehensive review of this policy every two years. This review takes into account ESG-related laws and regulations, international standards or industry norms, customer requirements, as well as the company's strategies and business plans. If any aspect of the policy is deemed inapplicable, it will be promptly evaluated and revised.
6.2 修订机制 Revision Mechanism
当出现如下触发场景时,中兴通讯采购委员会就会组织评估修订可持续采购政策,经过相关业务领域和合规部门评审,并通过公司管理层审批通过后发布。
When any of the following triggering scenarios occur, ZTE Procurement Board will evaluate and revise this policy. After the review by relevant business units and compliance departments, and the approval by the company's executives, the revised policy will be officially released.
